SEIS & EIS compliance, so your investors get their relief.
Once you’ve issued shares, HMRC needs a compliance statement before your investors can claim. We write and file your SEIS1 or EIS1, deal with HMRC and prepare the SEIS3 or EIS3 certificates for every investor.
No compliance statement, no tax relief.
Advance assurance gets investors to commit. The compliance statement is what actually lets them claim. Miss it, or get it wrong, and your investors lose their relief.
Investors can’t claim without it
Relief is claimed using the SEIS3 or EIS3 certificate, which you can only issue once HMRC accepts your compliance statement.
There are deadlines
Broadly, it has to be filed within two years of the end of the tax year the shares were issued. Late is too late.
Details have to match
Share issue dates, amounts and investor details must line up with your filings. Mismatches are the usual reason HMRC pushes back.
When you can file.
You can only submit the compliance statement once one of these is true.
You’ve spent at least 70% of the money raised under SEIS.
Or the company has been trading for at least four months.
For EIS, the company must have been trading for at least four months.
Not sure if you’re ready to file? Ask us. We’ll tell you, and we’ll diarise it if you’re not.

The 60 days start on the day we submit to HMRC and pause if HMRC ask for further information. See how the guarantee works.
What is the SEIS or EIS compliance statement?
After you’ve issued shares to investors, your company files a compliance statement with HMRC: form SEIS1 for SEIS shares or EIS1 for EIS shares. Once HMRC accepts it, they authorise you to issue SEIS3 or EIS3 certificates, which your investors need to claim their tax relief. Our compliance service handles the statement, the investor details and the certificates.
When can I file the compliance statement?
For SEIS, once you’ve spent at least 70% of the SEIS money or the company has been trading for at least four months. For EIS, once the company has been trading for at least four months. There are also deadlines, broadly two years after the end of the tax year the shares were issued, so it’s worth not leaving it too late.
What do I actually have to do?
Very little. You send us your pitch deck, any financials or forecasts you have, and the details of your planned raise. We check you qualify, edit the deck where HMRC is likely to push back, write the application and checklists, submit it as your agent and answer any questions HMRC sends. You review and approve before anything goes in.
